Four members of the board of directors of PP&L Resources, Inc. will retire from their board positions when their current terms expire on April 24, 1996, the day of PP&L Resources' annual meeting. The retiring directors are: John T. Kauffman of Emmaus, former chairman, president and chief executive officer of PP&L; David L. Tressler, of Clarks Summit, director of the Northeast Pennsylvania Physicians' Organization; Rev. Daniel G. Gambet, of Center Valley, president of Allentown College; and, Robert Y. Kaufman, of Potomac, Md., president of Yogi, Inc.
John Kauffman, a board member since 1978, is PP&L's retired chairman and chief executive officer. He retired as a PP&L officer and employee in December 1992 after a 42-year career with the company. He was succeeded by William F. Hecht, the company's current chairman, president and chief executive officer. At that time, the board asked Kauffman to remain a director through his current term.
Hecht praised Kauffman's 46 years of service to PP&L as both an employee and director. "Since he began his career at the Holtwood generating station in 1950," Hecht said, "John Kauffman has seen this organization grow from a company with a half-million customers and $78 million of revenues to a company with revenues of $2.75 billion, 1.2 million electric service customers in central eastern Pennsylvania, and power projects under development on a worldwide basis. He has provided guidance and leadership in many roles and assignments for PP&L for 46 years."
Kauffman said he plans to continue to be a PP&L ambassador in several volunteer education and community activities in which he has been involved for a number of years.
David L. Tressler joined the PP&L board in 1982 when he was president and chief executive officer of Northeastern Bank of Pennsylvania, Scranton. He subsequently served as executive director of the Joseph M. McDade Center for Public Initiatives at the University of Scranton and, most recently as executive director of the Northeast Pennsylvania Physicians' Organization.
Hecht said that Tressler had made many valuable contributions as a board member during his 15 years as a director. "We particularly appreciate his leadership as the chair for our PP&L Resources board Audit Committee, and his participation as a member of the Executive Committee of the PP&L and PP&L Resources boards," Hecht said.
The Very Rev. Daniel G. Gambet, OSFS, began his service on PP&L's board in 1986. Associated with Allentown College of St. Francis de Sales, in Center Valley, since 1964, Gambet has served as president of the college since 1978.
"In addition to the insights Father Gambet brought to our board as a highly regarded community leader," Hecht said, "we are especially grateful for the leadership role he played as the chair of PP&L's Corporate Responsibility Committee, and his service on the PP&L and PP&L Resources board executive committees. We look forward to continuing to work with Dan Gambet in the many Lehigh Valley community activities in which he is involved."
In the cases of Tressler and Gambet, Hecht said that "PP&L Resources has embarked upon a plan to begin a process of restructuring its board of directors. The changing economic and regulatory environment necessitates somewhat different skills, background and experience on the board than was the case in prior years. More specifically, the company believes that it should focus less on regional representation and more on business experience in the selection of directors. The restructuring began with this year's director class. The board is composed of three groups of directors who serve staggered terms of three years each. Mr. Tressler and Father Gambet were not renominated to be directors because of this restructuring. Both men have been valued and important contributors to PP&L. Both are highly respected and appreciated for their past contributions to the company and the board, and as individuals."
Robert Y. "Yogi" Kaufman joined the PP&L board in 1992, bringing a strong background of management, training and planning gained in his 35-year career with the U.S. Navy. Kaufman was a vice admiral upon his retirement from the Navy. He also served on the staff of The U.S. Joint Chiefs of Staff. He retires from the board having reached the mandatory retirement age of 72.
"Yogi Kaufman's contributions to PP&L were particularly noteworthy due to his background in the U.S. nuclear Navy," Hecht noted. "His service on PP&L's Nuclear Oversight Committee of the board provided valuable insight to the important oversight function of the board of our operational activities in the safe operation of our Susquehanna nuclear power plant.
"We value all of these retiring directors for the professional leadership and strong sense of high values they've brought to our organization. They have set the kind of ethical example that we strive to nurture at PP&L. It is one of the strong assets that helps set PP&L apart from its competitors in the electric utility industry."
Each of the four serves on the PP&L Resources, Inc. holding company board of directors, as well as on the board of Pennsylvania Power & Light Co., the electric operating utility serving Central Eastern Pennsylvania.
