PP&L Resources Shareowners to Meet

PP&L Resources Inc., parent company of Pennsylvania Power & Light, will hold its annual meeting of shareowners in Bethlehem Wednesday (4/24).

As many as 1,000 shareowners are expected to attend the event, which begins at 1:30 p.m. at Lehigh University's Stabler Arena in Lower Saucon Township, near Bethlehem.

Shareowners, casting ballots either in person or by proxy, are being asked to elect directors and ratify the appointment of Price Waterhouse LLP as the company's independent auditor.

More than 160 million shares of common stock, held by about 126,850 individuals and institutions, are eligible for voting.

William F. Hecht, chairman, president and chief executive officer, will preside over the session. A question-and-answer period for shareowners will follow the formal portion of the meeting.

There are three nominees for the company's board of directors: William J. Flood, secretary-treasurer of Highway Equipment & Supply Co., Harrisburg, Pa.; Frank A. Long, executive vice president of PP&L Resources; and Hecht. If re-elected, they will serve until the 1999 annual meeting.

Directors continuing in office, and therefore not standing for re-election this year are (term expiration year in parenthesis): E. Allen Deaver, executive vice president, a member of the president's office and a director of Armstrong World Industries Inc., Lancaster, Pa. (1997); Nance K. Dicciani, vice president and business director, Petroleum Chemicals Division, Rohm and Haas Co., Philadelphia, Pa. (1997); Elmer D. Gates, vice chairman of Fuller Co., Bethlehem, Pa. (1997); Derek C. Hathaway, chairman, president and chief executive officer of Harsco Corp., Camp Hill, Pa. (1998); Stuart Heydt, president and chief executive officer of Geisinger Health System, Danville, Pa. (1998); Clifford L. Jones, former president of the Capital Region Economic Development Corp., Camp Hill, Pa. (1998); Ruth Leventhal, professor of biology at the Milton S. Hershey Medical College of Penn State University (1998); and Norman Robertson, former senior vice president and chief economist of Mellon Bank N.A., Pittsburgh, Pa. (1997).

The following directors will retire as of the 1996 annual meeting: Daniel G. Gambet, president of Allentown College of St. Francis de Sales, Center Valley, Pa.; John T. Kauffman, retired chairman and chief executive officer of PP&L; Vice Admiral Robert Y. Kaufman, USN (Ret.), chairman and president of Yogi Inc., Potomac, Md.; and David L. Tressler, executive director of the Northeast Pennsylvania Physicians' Organization, Clarks Summit, Pa.
