PPL Transition Bond Company, LLC
PPL Transition Bond Company, LLC (the "Company") is a subsidiary of PPL Electric Utilities Corporation that was formed to issue transition bonds under the Pennsylvania Electricity Generation Customer Choice and Competition Act, legislation enacted to restructure the state's electric utility industry to create retail access to a competitive market for the generation of electricity. The Company became obligated to file periodic reports with the Securities and Exchange Commission (the "SEC") under the Securities Exchange Act of 1934 ("Exchange Act") following its issuance in 1999 of $2.42 billion of Transition Bonds, Series 1999-1. On November 9, 2004, the Company filed a Form 15 with the SEC, which suspends its duty to file reports with the SEC under the Exchange Act. Under applicable SEC rules, the Company no longer is obligated to file such reports because the transition bonds are held on record by less than 300 persons.
